These Terms and Conditions (“Terms”) govern your access to and use of the Pickastudio website, platform, applications, services and related features (collectively, the “Platform”).
The Platform is operated by PICK-A-STUDIO LIMITED, a private limited company incorporated under the laws of the Federal Republic of Nigeria with RC Number 6861480 (“Pickastudio”, “we”, “us”, or “our”).

By accessing, registering for, or using Pickastudio, you agree to be legally bound by these Terms, together with our Privacy Policy, Cancellation and Refund Policy, Community/Content Rules, and any other policies or rules expressly incorporated into these Terms.
If you do not agree to these Terms, you must not use the Platform.
1. ABOUT PICKASTUDIO
Pickastudio is an online marketplace that connects people seeking creative spaces and related services with hosts who list studios and other creative spaces for booking.
Through Pickastudio:
- users may discover and book studios;
- hosts may create and manage one or more studio listings;
- hosts may offer additional services or equipment alongside their studios;
- users may communicate with hosts through the Platform;
- users may request bookings and hosts may approve or decline booking requests;
- approved bookings may be paid for through the Platform;
- eligible users may review studios following completed bookings;
- hosts may access listing, booking and performance information through their dashboards; and
- users may report bookings, listings, conduct or other issues to Pickastudio.
Pickastudio is a marketplace and technology platform. Unless expressly stated otherwise, Pickastudio does not own, operate, manage, lease, or control the studios listed on the Platform and is not the provider of the studio services offered by Hosts.
The Host is generally responsible for the studio, its condition, facilities, equipment, services, availability, accuracy of listing information and compliance with applicable laws.
2. DEFINITIONS
For purposes of these Terms:
“Account” means a registered user account on Pickastudio.
“Booking” means a confirmed reservation for a Studio and/or Add-On Service through the Platform.
“Booking Request” means a request submitted by a User to reserve a Studio for a specified date and time.
“Creative” means a User using Pickastudio to discover, request or book Studios or related services.
“Host” means a User who creates, manages or offers a Studio or Add-On Service through Pickastudio.
“User” means any person who accesses or uses Pickastudio, including Creatives and Hosts.
“Studio” means a creative space, studio, location or other premises listed for booking on Pickastudio.
“Add-On” or “Add-On Service” means any additional product, equipment, service, professional or facility offered together with or in connection with a Studio booking, including equipment, photographers, videographers, lighting, props or other services.
“Booking Fee” means the amount payable for a Booking, including applicable Studio charges, Add-On charges, platform fees, taxes, payment charges or other amounts disclosed before payment.
“Wallet” means the internal Pickastudio account balance or ledger through which eligible amounts payable to a Host may be recorded and from which a Host may request a payout.
“Platform” means www.pickastudio.com and any related Pickastudio website, application, software, technology, dashboard or service.
3. ELIGIBILITY
You must be legally capable of entering into a binding contract to use Pickastudio.
By creating an Account, you confirm that:
- the information you provide is accurate, complete and current;
- you are legally permitted to use the Platform;
- you will maintain the accuracy of your Account information;
- you will not create an Account using false, misleading or fraudulent information;
- you will not impersonate another person or entity; and
- you will comply with all applicable Nigerian laws and regulations.
If you are registering or acting on behalf of a business, you represent that you have authority to act for that business.
Pickastudio may require additional information, identification, verification or documentation before allowing certain features to be used.
4. ONE ACCOUNT, MULTIPLE ROLES
Pickastudio is designed to allow a User to participate in the marketplace in more than one capacity.
A User may:
- book Studios as a Creative;
- list Studios as a Host;
- manage multiple Studios;
- switch between available Creative and Host functionality; and
- use the same Account for both booking and hosting activities.
Being registered as a Host does not prevent you from booking another Host’s Studio.
Similarly, being registered as a Creative does not prevent you from becoming a Host and listing one or more Studios.
Pickastudio may use role labels such as “Creative” and “Host” to describe how a User is using a particular feature. These labels do not necessarily create separate accounts or separate legal identities.
5. ACCOUNT REGISTRATION AND SECURITY
To use certain Platform features, you must create an Account.
You may be required to provide information including:
- username or business name;
- email address;
- telephone number;
- first name and last name;
- payment or bank information;
- identification or verification information; and
- other information reasonably required by Pickastudio.
You are responsible for maintaining the confidentiality of your login credentials.
You must immediately notify Pickastudio if:
- your Account has been accessed without permission;
- you believe your password has been compromised;
- your personal or business information has been misused; or
- you suspect fraudulent activity involving your Account.
You are responsible for activity conducted through your Account unless you can demonstrate that the activity occurred without your authorisation and that you took reasonable steps to protect your Account.
You must not sell, transfer, rent, lend or otherwise provide your Account to another person without Pickastudio’s written permission.
6. HOSTS AND STUDIO LISTINGS
Hosts may create one or more Studio listings.
A Host must ensure that every listing contains accurate, complete and up-to-date information, including where applicable:
- Studio name;
- description;
- photographs;
- location;
- available facilities;
- hourly price;
- minimum or maximum booking period;
- availability;
- rules and restrictions;
- permitted activities;
- equipment;
- Add-On Services;
- access arrangements;
- cancellation terms;
- safety information; and
- any other information reasonably necessary for a User to make an informed booking decision.
Hosts must not knowingly publish false, misleading, deceptive, materially incomplete or outdated information.
Hosts are responsible for ensuring that their Studio is available at the times shown on Pickastudio.
If a Studio is unavailable, the Host must promptly update the listing or calendar.
Pickastudio may modify, suspend or remove a listing where we reasonably believe that the listing:
- violates these Terms;
- contains materially inaccurate information;
- creates a safety, legal or reputational risk;
- is misleading;
- is associated with fraud or abuse;
- has received credible complaints; or
- otherwise creates a risk to Users or Pickastudio.
7. MULTIPLE STUDIOS
A Host may list multiple Studios through the same Account, subject to any applicable Platform requirements.
Each Studio is treated as a separate listing and may have its own:
- pricing;
- availability;
- rules;
- photographs;
- Add-On Services;
- reviews;
- booking history; and
- performance analytics.
A Host must not create duplicate or misleading listings for the same Studio for the purpose of manipulating search results, reviews, bookings or Platform analytics.
8. STUDIO VERIFICATION
Pickastudio may offer Studio verification.
Verification may involve reviewing information supplied by a Host, photographs, location information, business information, documents, physical details or other information reasonably required by Pickastudio.
A “Verified” Studio designation means only that Pickastudio has completed the verification process or checks applicable to that designation at the relevant time.
Verification is not a guarantee that:
- the Studio is suitable for every purpose;
- the Studio is free from defects;
- the Host will always comply with these Terms;
- the Studio will remain available;
- the Studio will meet every User’s expectations; or
- no incident will occur at the Studio.
Pickastudio may remove or suspend verification where information becomes inaccurate, circumstances change, or verification requirements are no longer satisfied.
9. HOST VERIFICATION
Pickastudio may require Hosts to complete identity, business, contact, payment, location or other verification checks.
Verification may include requests for:
- government-issued identification;
- business registration details;
- bank account information;
- proof of address;
- Studio ownership or authority to operate;
- photographs;
- telephone verification; or
- other documentation.
A Host must provide truthful and authentic information.
Providing false, altered, stolen or misleading documentation may result in immediate suspension or termination of the Account and may be reported to relevant authorities where appropriate.
10. STUDIO PRICING
Hosts are responsible for setting the price of their Studios and Add-On Services, subject to Pickastudio’s Platform rules.
Studios are generally listed on an hourly basis.
The total amount payable for a Booking will be displayed to the User before payment, where reasonably practicable, and may include:
- Studio charges;
- Add-On charges;
- Pickastudio service or platform fees;
- applicable taxes;
- payment processing charges; and
- other disclosed charges.
Hosts must not request additional mandatory charges outside the Platform unless those charges were clearly disclosed and agreed to as part of the Booking or are otherwise permitted by Pickastudio.
Pickastudio may change its own fees from time to time. Changes will not ordinarily affect a Booking that has already been confirmed and paid for unless required by law or otherwise agreed.
11. ADD-ONS AND ADDITIONAL SERVICES
Hosts may offer Add-Ons with their Studios, including:
- cameras;
- lighting;
- sound equipment;
- backdrops;
- props;
- photography;
- videography;
- production support;
- assistants;
- other equipment; and
- other creative services.
Hosts are responsible for accurately describing each Add-On and ensuring that it is available as promised.
Where an Add-On is supplied by a third party, the Host remains responsible for ensuring that the Add-On is appropriately described and delivered in accordance with the Booking.
Unless expressly stated otherwise, Pickastudio does not independently verify the qualifications, professional competence, licensing or suitability of a person offering an Add-On.
Users are responsible for reviewing the details and limitations of an Add-On before booking.
12. BOOKING REQUESTS
A User may submit a Booking Request for an available Studio.
Submitting a Booking Request does not automatically create a confirmed Booking.
The Host may:
- approve the request;
- decline the request; or
- fail to respond within the applicable period, in which case the request may expire or be cancelled in accordance with Platform rules.
A Booking becomes confirmed only when:
- the Host has approved the Booking Request; and
- the User completes the required payment process within the applicable time.
Pickastudio may impose an expiry period for approved Booking Requests.
If payment is not completed within the applicable period, Pickastudio may treat the Booking Request as expired and make the Studio available to other Users.
13. PAYMENT
Users must pay for confirmed Bookings through the payment methods made available by Pickastudio.
Payments may be processed by third-party payment providers, including Paystack or Flutterwave.
Pickastudio does not directly hold or process card details where the payment process is handled by the relevant payment provider.
The User authorises Pickastudio and its payment partners to process the payment necessary to complete an approved Booking.
Payment processing may be subject to additional terms imposed by the payment provider.
Pickastudio may refuse, delay, reverse, suspend or investigate a transaction where reasonably necessary because of:
- suspected fraud;
- payment failure;
- chargeback;
- security concerns;
- regulatory requirements;
- inaccurate information;
- suspected misuse;
- a dispute; or
- another legitimate reason.
14. PAYMENT PROVIDERS
Payments may be processed using third-party payment providers such as Paystack or Flutterwave.
Users acknowledge that payment processing is subject to the applicable payment provider’s terms, policies and technical systems.
Pickastudio is not responsible for an independent failure of a third-party payment provider, bank, card issuer or payment network, except to the extent required by applicable law.
Where payment processing or settlement involves a third-party provider, the relevant provider may process personal and financial information in accordance with its own applicable privacy and contractual terms.
15. BOOKING CANCELLATION AND REFUNDS
Bookings are subject to the cancellation and refund rules displayed on the Platform and applicable to the relevant Studio or Booking.
Hosts must not impose cancellation terms that conflict with applicable law or Pickastudio’s mandatory cancellation and refund requirements.
Users may have legal rights to cancel advance bookings and obtain refunds, subject to applicable law and reasonable cancellation charges where permitted.
Where a cancellation is permitted, the amount refunded may depend on:
- how early the cancellation occurs;
- the applicable cancellation policy;
- whether the Host has already incurred legitimate costs;
- whether the Booking has commenced;
- whether an Add-On has been arranged;
- whether a cancellation is caused by the User, Host or circumstances outside either party’s control; and
- applicable law.
Where a Booking cannot proceed because of a Host’s failure, including where the Studio is unavailable despite being confirmed, Pickastudio may provide an appropriate remedy, which may include a refund, rebooking or other resolution subject to the circumstances and applicable law.
Nothing in these Terms is intended to exclude or restrict a consumer right that cannot lawfully be excluded or restricted.
Pickastudio may maintain a separate Cancellation and Refund Policy setting out the applicable cancellation periods, refund percentages and procedures.
16. HOST CANCELLATIONS
A Host should not cancel a confirmed Booking except where reasonably necessary.
Repeated Host cancellations may result in:
- reduced listing visibility;
- loss of verification;
- account warnings;
- financial consequences where permitted and disclosed;
- temporary suspension; or
- termination.
Where a Host cancels a Booking, Pickastudio may assist the affected User in obtaining a refund or finding an alternative Studio.
If the Host’s cancellation causes Pickastudio to incur legitimate costs, Pickastudio may take reasonable action against the Host’s available balance or future amounts payable to the Host, subject to applicable law and prior disclosure where required.
17. ARRIVAL, ACCESS AND USE OF THE STUDIO
Users must use a Studio only for lawful purposes and in accordance with:
- the listing description;
- the Host’s reasonable house rules;
- the Booking terms;
- applicable laws;
- safety requirements; and
- any reasonable instructions communicated by the Host.
Users must not:
- exceed agreed occupancy limits;
- use a Studio for unlawful activity;
- damage the property;
- remove property belonging to the Host;
- interfere with building systems;
- create unreasonable noise or disturbance;
- use prohibited substances where prohibited by law or the Host’s rules;
- engage in dangerous activities;
- bring unauthorised persons where the Booking restricts access;
- use the Studio for a purpose materially different from the purpose represented during booking; or
- otherwise misuse the Studio.
The Host may impose reasonable Studio-specific rules, provided that those rules are lawful and disclosed appropriately.
18. DAMAGES, LOSS AND INCIDENTS
Users are responsible for damage they cause to a Studio, equipment or other property through their intentional, negligent, reckless or unlawful conduct, subject to applicable law.
Hosts should report material damage, loss, theft or other incidents to Pickastudio promptly.
Pickastudio may investigate reported incidents and request evidence including:
- photographs;
- videos;
- receipts;
- repair estimates;
- invoices;
- messages;
- witness statements; or
- other relevant information.
Pickastudio may make a determination concerning Platform-level remedies, but Pickastudio is not a court and its determination does not prevent a party from pursuing any legal remedy available under applicable law.
Users must not make fraudulent, exaggerated or knowingly false damage claims.
19. HOST PAYOUTS AND PICKASTUDIO WALLET
Following a completed Booking, amounts payable to a Host may be credited to the Host’s Pickastudio Wallet or otherwise recorded as an amount due.
The Wallet is an internal accounting and payout feature. It is not a bank account, deposit account, savings account, investment product or payment account unless Pickastudio is legally authorised to provide such a regulated service.
A Host may request withdrawal of eligible amounts subject to Pickastudio’s payout procedures.
Pickastudio may delay a payout for a reasonable period after a Booking where necessary to:
- verify completion of the Booking;
- investigate a complaint;
- review a report;
- check for damage;
- investigate suspected fraud;
- process a refund or chargeback;
- resolve a dispute;
- comply with legal or regulatory requirements; or
- conduct reasonable security or transaction checks.
Pickastudio may place a temporary hold on an amount reasonably connected with a dispute, suspected fraud, damage claim, refund, chargeback or other legitimate issue.
Pickastudio will not use a payout delay as an indefinite means of withholding funds.
Where a Host has requested a payout, the transfer may be subject to bank processing times, payment-provider processing, weekends, public holidays and other circumstances outside Pickastudio’s reasonable control.
20. PAYOUT INFORMATION
Hosts are responsible for ensuring that their payout and bank details are correct.
Pickastudio is not responsible for loss caused by incorrect account information supplied by a Host, except to the extent that applicable law provides otherwise.
Pickastudio may require identity or bank-account verification before releasing funds.
Pickastudio may deduct or set off amounts properly owed to Pickastudio or amounts that the Host is legally responsible for, where permitted by law and these Terms.
21. PLATFORM FEES AND COMMISSIONS
Pickastudio may charge:
- Host commissions;
- booking/service fees;
- payment-related fees;
- listing fees;
- withdrawal or transfer fees;
- promotional fees; or
- other fees.
Any mandatory fee applicable to a transaction will be disclosed before the relevant transaction is completed, where required by law.
Pickastudio may change its fee structure by providing reasonable notice.
Unless expressly stated otherwise, fees already charged for a completed transaction are non-refundable except where required by law or Pickastudio’s applicable refund policy.
22. REVIEWS
Pickastudio may allow eligible Users to leave reviews and ratings following a completed Booking.
Reviews should be:
- truthful;
- based on genuine experience;
- relevant to the Studio or service;
- respectful;
- not misleading; and
- compliant with applicable law.
Users must not:
- post fake reviews;
- review a Studio they did not use;
- create multiple Accounts to manipulate ratings;
- offer or accept payment for a particular review;
- threaten someone to obtain a review;
- post private or confidential information;
- post defamatory or knowingly false statements; or
- manipulate ratings or reviews through coordinated activity.
Where Pickastudio requires a User to have completed a Booking and/or meet verification requirements before reviewing a Studio, only eligible Users may submit reviews.
Pickastudio may remove or restrict a review where it reasonably believes that the review violates these Terms, applicable law, or the Platform’s review rules.
Pickastudio does not guarantee that reviews are accurate or represent the views of Pickastudio.
23. MESSAGING
Registered Users may be permitted to communicate with Hosts through Pickastudio.
Messaging is provided to facilitate legitimate marketplace activity.
Users must not use messaging to:
- harass or threaten another person;
- send spam;
- solicit illegal activities;
- distribute malware;
- request or share inappropriate personal information;
- circumvent Pickastudio’s fees;
- arrange fraudulent transactions;
- impersonate another person; or
- engage in discriminatory or abusive conduct.
Pickastudio may monitor, review, restrict or investigate communications where permitted by law and reasonably necessary to maintain safety, prevent fraud, enforce these Terms or comply with legal obligations.
24. OFF-PLATFORM TRANSACTIONS
Users must not intentionally use Pickastudio to circumvent applicable Platform fees, payment processes, safety systems or marketplace controls.
A Host or User must not pressure another User to:
- pay outside Pickastudio;
- cancel a legitimate Booking so that the parties can transact privately;
- exchange payment details for the purpose of avoiding Platform fees; or
- otherwise bypass Pickastudio’s transaction system.
Pickastudio may suspend or terminate Accounts involved in deliberate fee circumvention, fraud or abuse.
Nothing in this section prevents Users from communicating or transacting outside Pickastudio where doing so is lawful and does not involve the circumvention of a confirmed Pickastudio transaction or other Platform safeguards.
25. REPORTING A BOOKING OR INCIDENT
Users may report a Booking, Studio, Host, Creative, message, review or other Platform activity through available reporting features or by contacting Pickastudio.
Reports should be made promptly and should include sufficient information to allow Pickastudio to investigate.
Pickastudio may request additional evidence.
We may take action including:
- contacting the parties;
- requesting documents;
- temporarily restricting a listing;
- suspending a Booking;
- withholding a disputed payout;
- removing content;
- issuing warnings;
- requiring corrective action;
- suspending an Account; or
- terminating an Account.
Pickastudio may also refer matters to law enforcement or another appropriate authority where reasonably necessary or legally required.
26. HOST RESPONSIBILITIES
Hosts are solely responsible for ensuring that their Studios and services comply with applicable laws and regulations.
Hosts must obtain and maintain any licence, consent, permit, registration, insurance, landlord approval, building approval or other authorisation required for their Studio or activities.
Hosts must ensure that their Studio is reasonably safe for the intended use disclosed on the Platform.
Hosts are responsible for:
- their Studio;
- access to the Studio;
- their listing information;
- their pricing;
- their availability;
- their Studio rules;
- their Add-On Services;
- their equipment;
- their personnel and contractors;
- their legal and tax obligations; and
- their interactions with Users.
Pickastudio does not guarantee that a Host has complied with every legal or regulatory obligation applicable to the Host.
27. CREATIVE/USER RESPONSIBILITIES
Users are responsible for:
- selecting a Studio appropriate for their intended use;
- reading the listing and Studio rules before booking;
- providing accurate booking information;
- arriving at the agreed time;
- complying with Studio rules;
- treating the Studio and property responsibly;
- paying all applicable amounts;
- reporting material problems promptly; and
- complying with applicable laws.
Users should independently evaluate whether a Studio is appropriate for their project, equipment, team size and intended activity.
28. AIRBNB AND CALENDAR SYNCHRONISATION
Pickastudio may provide tools allowing Hosts to connect or synchronise Studio availability with third-party platforms such as Airbnb.
Such tools may depend on third-party APIs, calendar feeds, integrations or technical systems.
Pickastudio does not guarantee that synchronisation will always be:
- immediate;
- complete;
- accurate;
- uninterrupted; or
- free from technical errors.
Hosts remain responsible for ensuring that their availability is accurate across platforms.
Where a Host uses calendar synchronisation, the Host must regularly review their calendars and Booking information to avoid double bookings.
Pickastudio is not responsible for a double booking caused by inaccurate information, a delayed third-party synchronisation, a third-party system failure or the Host’s failure to maintain availability, except where Pickastudio is legally responsible.
29. MAPS AND LOCATION INFORMATION
Pickastudio may use mapping and location services, including Google Maps or related Google services, to display Studio locations.
Map information may be provided by third parties and may not always be completely accurate or current.
Hosts are responsible for ensuring that their Studio location and directions are accurate.
Users should confirm important location and access information before attending a Studio.
30. ANALYTICS AND PLATFORM DATA
Pickastudio may use analytics technologies, including Google Analytics or similar services, to understand:
- Platform traffic;
- user behaviour;
- listing performance;
- search and engagement patterns;
- technical performance; and
- general marketplace trends.
Pickastudio may provide Hosts with analytics relating to their Studios, subject to applicable privacy and data protection requirements.
Analytics are provided for informational and business purposes and may not represent guaranteed future performance, revenue or bookings.
31. INTELLECTUAL PROPERTY
The Platform and its content, excluding User Content and third-party materials, are owned by or licensed to Pickastudio.
This includes, where applicable:
- the Pickastudio name;
- logo;
- branding;
- graphics;
- text;
- databases;
- trademarks;
- trade names; and
- other intellectual property.
You may use the Platform only for its intended purposes.
You must not, without Pickastudio’s prior written permission:
- copy the Platform;
- reproduce substantial parts of its design;
- reverse engineer the Platform;
- scrape data at scale;
- extract databases;
- commercially exploit Platform content;
- misuse Pickastudio’s trademarks; or
- interfere with Platform technology.
32. USER CONTENT
Users may upload or submit:
- photographs;
- videos;
- Studio descriptions;
- reviews;
- messages;
- logos;
- business information;
- listing content; and
- other materials (“User Content”).
You retain ownership of User Content that you own.
However, by submitting User Content to Pickastudio, you grant Pickastudio a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, distribute and use that content as reasonably necessary to operate, promote, improve and provide the Platform.
This licence continues for as long as reasonably necessary for the purposes for which the content was submitted, subject to applicable law and our Privacy Policy.
You represent that you have all necessary rights and permissions to submit the User Content.
33. PHOTOGRAPHS AND THIRD-PARTY RIGHTS
A Host must not upload photographs or other materials that infringe another person’s copyright, trademark, privacy, publicity or other rights.
If a photograph contains identifiable individuals, the Host should ensure that the necessary permissions have been obtained where required.
Pickastudio may remove content following a credible complaint or where we reasonably believe that content infringes rights or violates applicable law.
34. PROHIBITED ACTIVITIES
You must not use Pickastudio for:
- unlawful activities;
- fraud or attempted fraud;
- money laundering or other financial crime;
- terrorism or financing of terrorism;
- trafficking or exploitation;
- activities involving stolen property;
- activities that endanger people;
- harassment, threats or abuse;
- discriminatory conduct prohibited by law;
- malicious software or cyberattacks;
- unauthorised access to another Account;
- manipulation of reviews;
- fake bookings;
- payment fraud;
- fee circumvention;
- false identity or verification information;
- misleading Studio listings;
- unauthorised commercial use of Platform data;
- conduct intended to damage Pickastudio or another User; or
- any activity prohibited by applicable Nigerian law.
Pickastudio reserves the right to take appropriate action where it reasonably believes prohibited conduct has occurred.
35. SAFETY AND EMERGENCIES
Pickastudio is not an emergency response service.
If there is an immediate risk to life, health or safety, Users should contact the appropriate emergency services or relevant authorities.
Users should not rely on Pickastudio’s verification, reviews, maps or listing information as a substitute for exercising reasonable care.
Hosts should provide appropriate safety information and emergency instructions for their Studios where reasonably necessary.
36. VERIFICATION DOES NOT GUARANTEE SAFETY
Any identity, Host or Studio verification performed by Pickastudio is intended to improve marketplace trust.
Verification does not constitute:
- an endorsement;
- a guarantee;
- an insurance policy;
- a warranty;
- a certification of professional competence; or
- a guarantee that the User or Studio will comply with these Terms.
Users remain responsible for exercising reasonable judgment.
37. PICKASTUDIO’S ROLE AS MARKETPLACE
Pickastudio provides technology and marketplace services that facilitate interactions between Users.
Unless expressly stated otherwise, Pickastudio is not:
- the owner of a listed Studio;
- the landlord or tenant of a Studio;
- the employer of a Host;
- the employer of an Add-On provider;
- a party to a contract between a Host and User concerning the underlying Studio service, except to the extent expressly stated;
- responsible for the physical condition of a Studio;
- responsible for a Host’s equipment;
- responsible for the quality of a Host’s services; or
- responsible for the conduct of a User or Host.
Pickastudio may facilitate payments, communications, verification, reviews, reporting and dispute handling as part of operating the marketplace.
38. THIRD-PARTY SERVICES
Pickastudio may integrate with third-party services including:
- Paystack;
- Google Maps;
- Google Analytics;
- Microsoft clarity,
- Airbnb or related calendar services;
- hosting providers;
- communications providers;
- identity verification providers; and
- other technology or service providers.
Third-party services may have their own terms and privacy policies.
Pickastudio does not control all third-party services and cannot guarantee their uninterrupted availability.
39. DISCLAIMERS
To the fullest extent permitted by law, Pickastudio provides the Platform on an “as available” basis.
We do not guarantee that:
- the Platform will always be available;
- every Studio listing is accurate;
- every Host is trustworthy;
- every User is trustworthy;
- every Studio is suitable for a particular purpose;
- every Booking will proceed without problems;
- third-party services will operate without interruption;
- Platform analytics will be completely accurate; or
- a User will achieve a particular business or financial result from using Pickastudio.
Nothing in these Terms excludes a warranty, guarantee, consumer right or liability that cannot lawfully be excluded.
40. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Pickastudio will not be liable for indirect, incidental, special, consequential or punitive losses arising from:
- use of a Studio;
- conduct of a Host or User;
- loss of personal property;
- loss of business opportunity;
- loss of anticipated income;
- loss of reputation;
- cancellation caused by another User;
- third-party platform failures;
- internet or telecommunications failures; or
- events outside Pickastudio’s reasonable control.
Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by law, including liability that cannot lawfully be excluded or limited.
Where legally permissible, Pickastudio’s aggregate liability arising directly from a particular Booking or Platform transaction will not exceed the amount of fees actually retained by Pickastudio in connection with that Booking or transaction.
This limitation does not apply to liability that cannot legally be limited.
41. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless Pickastudio, its directors, officers, employees, agents and service providers against claims, losses, liabilities, damages, costs and expenses arising from:
- your breach of these Terms;
- your unlawful conduct;
- your misuse of the Platform;
- your Studio or Add-On Service;
- your User Content;
- damage caused by you to another person’s property;
- infringement of another person’s intellectual property or other rights;
- inaccurate information supplied by you; or
- your relationship or dealings with another User.
This section does not require you to indemnify Pickastudio for losses caused by Pickastudio’s own unlawful conduct or liability that cannot legally be transferred to you.
42. INSURANCE
Pickastudio does not automatically provide insurance for Studios, Hosts, Creatives, equipment, property or Bookings unless expressly stated.
Hosts and Users are responsible for obtaining appropriate insurance where necessary for their activities, property, equipment, personnel or business.
Hosts should consider appropriate public liability, property, professional or other insurance depending on the nature of their Studio and services.
43. TAXES
Hosts are responsible for determining and complying with their own tax obligations arising from income received through Pickastudio.
This may include applicable:
- income taxes;
- company taxes;
- VAT;
- withholding obligations;
- levies; or
- other statutory obligations.
Pickastudio may collect, report, withhold or remit amounts where required by law.
44. ACCOUNT SUSPENSION AND TERMINATION
Pickastudio may suspend, restrict or terminate an Account where reasonably necessary, including where:
- the User breaches these Terms;
- false information is supplied;
- fraud is suspected;
- verification fails;
- payment abuse occurs;
- there is a serious safety concern;
- there is unlawful conduct;
- there is repeated cancellation or misuse;
- the User attempts to circumvent Platform controls;
- the User abuses another User;
- the User manipulates reviews;
- the User creates a material risk to Pickastudio or its Users; or
- Pickastudio is required to do so by law or a competent authority.
Where reasonably practicable, Pickastudio may provide notice and an opportunity to address the issue.
However, Pickastudio may suspend an Account immediately where necessary to prevent fraud, security risks, serious harm, illegal conduct or other urgent risks.
45. EFFECT OF ACCOUNT TERMINATION
If your Account is terminated:
- you may no longer use restricted Platform features;
- pending Bookings may be cancelled where appropriate;
- amounts due may remain subject to investigation or applicable payment obligations;
- your legal obligations concerning completed transactions remain in effect; and
- provisions that by their nature should survive termination will continue to apply.
Termination does not automatically extinguish rights or obligations that arose before termination.
46. DISPUTES BETWEEN USERS
Where a dispute arises between a Creative and Host, the parties should first attempt to resolve the matter directly through Pickastudio’s communication or support channels.
Pickastudio may facilitate communication or provide marketplace-level assistance.
Pickastudio may request information from either party and may take reasonable action concerning the Platform, including a refund, Booking adjustment, payout hold or listing restriction where appropriate and permitted.
Pickastudio’s involvement does not make it the insurer, guarantor or legal representative of either party.
Nothing prevents a User from pursuing lawful remedies available through the appropriate legal or regulatory process.
47. DISPUTES WITH PICKASTUDIO

- the resolution you are requesting.
Pickastudio will review complaints in good faith and may request additional information.
48. GOVERNING LAW
These Terms are governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Nothing in these Terms prevents a consumer from exercising mandatory rights or remedies available under applicable consumer protection laws.
49. DISPUTE RESOLUTION AND JURISDICTION
The parties should first attempt to resolve disputes amicably.
Where a dispute cannot be resolved amicably, either party may pursue the remedies available under Nigerian law.
Subject to any mandatory consumer protection rights or jurisdictional requirements, the courts of competent jurisdiction in Nigeria shall have jurisdiction over disputes arising from these Terms or use of the Platform.
Nothing in this clause prevents Pickastudio from seeking urgent injunctive or protective relief where reasonably necessary to protect its Platform, intellectual property, confidential information, Users or other legitimate interests.
50. PRIVACY AND DATA PROTECTION
Pickastudio collects and processes personal information in connection with Account creation, identity verification, Bookings, payments, communications, analytics, fraud prevention, customer support and other Platform functions.
Pickastudio will process personal data in accordance with applicable Nigerian data protection law and its Privacy Policy.
The Pickastudio Privacy Policy forms part of the Platform’s legal framework and should be read together with these Terms.
Depending on the circumstances and applicable law, Users may have rights concerning their personal data, including rights relating to:
- access;
- correction;
- deletion or erasure;
- restriction;
- objection;
- portability; and
- withdrawal of consent where consent is the applicable legal basis.
Requests concerning personal data may be directed to:
Pickastudio may retain information where necessary to comply with legal obligations, resolve disputes, prevent fraud, maintain financial records, enforce agreements or establish, exercise or defend legal claims.
51. MARKETING COMMUNICATIONS
Pickastudio may send Users transactional communications relating to:
- Bookings;
- payments;
- account activity;
- security;
- verification;
- support;
- policy updates; and
- other necessary Platform matters.
Where permitted by law, Pickastudio may also send marketing communications.
Users may unsubscribe from marketing communications using available unsubscribe mechanisms, while transactional or legally necessary communications may continue.
52. ELECTRONIC COMMUNICATIONS
By using Pickastudio, you consent to receiving electronic communications from us where legally permissible.
Communications may include:
- emails;
- SMS;
- in-app notifications;
- dashboard notifications; and
- other electronic messages.
Electronic communications may be used to provide notices, confirmations, receipts, policy updates and other information relating to your Account or transactions.
53. MODIFICATIONS TO THESE TERMS
Pickastudio may update these Terms from time to time.
When material changes are made, Pickastudio may provide notice through the Platform, email or another reasonable method.
The updated Terms will become effective on the stated effective date.
Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms to the extent permitted by law.
Changes will not ordinarily alter rights or obligations already fixed by a completed Booking unless required by law or necessary to address security, regulatory or technical matters.
54. CHANGES TO THE PLATFORM
Pickastudio may:
- add new features;
- remove features;
- change the Platform interface;
- modify search and ranking systems;
- change analytics;
- suspend features;
- introduce new services; or
- discontinue parts of the Platform.
We will make reasonable efforts to avoid unnecessary disruption but cannot guarantee that every feature will remain available indefinitely.
55. FORCE MAJEURE
Pickastudio will not be responsible for delay or failure caused by events beyond its reasonable control, including:
- natural disasters;
- fire;
- flood;
- epidemic or pandemic;
- government action;
- civil unrest;
- war;
- terrorism;
- power failures;
- telecommunications failures;
- internet outages;
- banking system failures;
- payment network failures;
- cyber incidents outside Pickastudio’s reasonable control;
- strikes; or
- other extraordinary events.
This does not remove any mandatory rights that a User may have under applicable law.
56. SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be modified or removed to the minimum extent necessary.
The remaining provisions will continue in effect.
57. NO WAIVER
If Pickastudio does not immediately enforce a provision of these Terms, that does not mean Pickastudio has waived its right to enforce that provision later.
58. ASSIGNMENT
You may not transfer or assign your rights or obligations under these Terms without Pickastudio’s prior written consent, except where permitted by law.
Pickastudio may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets or other corporate transaction, subject to applicable law.
59. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Cancellation and Refund Policy and other policies expressly incorporated into them, constitute the agreement governing your use of Pickastudio.
If there is a conflict between these Terms and a specific Booking policy, the specific Booking policy will apply to the relevant transaction to the extent of the conflict.
Nothing in these Terms excludes rights or obligations imposed by applicable law.
60. NO EMPLOYMENT OR AGENCY RELATIONSHIP
Nothing in these Terms creates an employment, partnership, joint venture, franchise, agency or fiduciary relationship between:
- Pickastudio and a Host;
- Pickastudio and a Creative; or
- one User and another User,
except where expressly agreed in writing.
Hosts are independent providers using Pickastudio as a marketplace.
61. THIRD-PARTY BENEFICIARIES
Unless expressly stated otherwise, these Terms do not create enforceable rights in favour of persons who are not parties to these Terms.

63. ACCEPTANCE
By registering for an Account, accessing or using Pickastudio, submitting a Booking Request, creating a Studio listing, making a payment, requesting a payout, communicating through the Platform, or otherwise using the Platform, you acknowledge that you have read, understood and agreed to these Terms.
If you do not agree to these Terms, you must not use Pickastudio.
